The 1WorldSync platform is operational twenty-four (24) hours a day, seven (7) days a week, excluding downtime for outages due to issues beyond our control, downtime due to Scheduled Maintenance, or any other force majeure event (“Excused Downtime”) and Unexcused Downtime. Any downtime that is not included as Excused Downtime is counted as “Unexcused Downtime”. “Availability” means (the difference between the total number of minutes in a calendar month, less Excused Downtime, less Unexcused Downtime) with the result divided by (the difference between the total number of minutes in a calendar month less Excused Downtime), as determined by 1WorldSync.
